Jardine Matheson Holdings Limited (**Jardines**) proposes to acquire, via its wholly owned special purpose vehicle Kent Image Australia Pty Ltd, 100% of the issued share capital in Image Holdco Pty Ltd and its subsidiaries and relevant joint venture interests (together, **I-MED**) (the **Acquisition**). The Acquisition is expected to be completed later in 2026. Jardines is a diversified, Asia-focused investment company. Jardines' portfolio spans property, retail, automotive, hospitality, industrial, financial services and healthcare, with operations across Asia, including in Hong Kong, Indonesia, Mainland China, Vietnam, Singapore and Malaysia. Jardines has a primary listing on the London Stock Exchange and secondary listings on the Singapore Exchange and Bermuda Stock Exchange. I-MED operates a number of diagnostic imaging clinics across metropolitan and regional communities in Australia and New Zealand, providing a range of imaging and diagnostic services (including MRI, CT, PET, nuclear medicine, ultrasound and X-ray) to communities, hospitals, referrers and other stakeholders. I-MED is also a provider of teleradiology – a service that enables a radiologist to remotely interpret medical images via technology to support diagnosis for patients receiving care where radiologists are not onsite at the health facility – in Australia and New Zealand as well as the United States.
