Redwood Services Group Australia Pty Ltd (**Redwood**) proposes to acquire 100% of the shares in The Virtual IT Department Pty Ltd, The Virtual IT Department (Qld) Pty Ltd and Globechat Communications Australia Pty Ltd (together, **Virtual IT Department**) (the **Acquisition**). Redwood’s subsidiaries supply managed IT services, including the provision of software and hardware, to small-to-medium businesses and other enterprise customers across Australia. Redwood is part of Evergreen Services Group (**Evergreen**), which acquires managed IT service providers and other technology services companies globally. Evergreen is a portfolio company of Alpine Investors, a private equity firm headquartered in San Francisco, California. Virtual IT Department supplies managed IT services (including VoIP phone systems and support) to small-to-medium businesses and community sector organisations.
