Goodstart – certain Edge Early Learning centres (in administration)

Goodstart Early Learning Ltd (**Goodstart**) proposes to acquire the business and assets of 31 childcare centres operated by Edge Early Learning Holdings Pty Ltd (Administrators Appointed) (**Edge**) (the **Acquisition**). Goodstart is a national provider of early learning and childcare services, operating a network of 666 childcare centres across Australia. Goodstart is a not-for-profit provider formed by The Benevolent Society, Mission Australia, the Brotherhood of St Laurence and Social Ventures Australia. Edge is an Australian early childhood education provider which operates a network of 64 childcare centres across Queensland and South Australia. Edge is in administration and the Acquisition will take place following a sale process conducted by the Administrators. Both Goodstart and Edge provide centre-based childcare and early childhood education services (**long day care**) for children aged 0-6 years in relevant local areas in Queensland and South Australia. This includes kindergarten and preschool programs where applicable. The parties have entered into a Heads of Agreement which provides the terms on which Goodstart will acquire the assets and business of the relevant Edge childcare centres, including leasehold interests, plant and equipment, contracts, and regulatory approvals.
