The proposed transaction concerns the acquisition of control over Myriad360, LLC and its direct and indirect subsidiaries (together, **Myriad360**) by a newly formed entity, Metronome Bidco, LLC (**OEP Acquirer**), which is ultimately controlled by funds managed and/or advised by One Equity Partners (the **Acquisition**). Pursuant to an Equity Purchase Agreement, OEP Acquirer will acquire 100% of the shares in Myriad360. Approximately 51% of the shareholdings in OEP Acquirer will be indirectly owned by funds managed and/or advised by One Equity Partners, and the existing shareholders (which primarily consist of management) will roll over to hold a minority non-controlling interest in the business. One Equity Partners is a US-based middle market private equity firm that invests in businesses across the industrial, healthcare, and technology sectors, primarily in North America and Europe. One Equity Partners controls a portfolio of companies globally, some of which are active in aspects of the information technology (**IT**) sector, including software development, IT consulting and reselling, and managed IT services. Myriad360 is a US-based IT services and consulting firm that helps enterprises design, implement, and manage technology environments. In providing these services, Myriad360 is a vendor-agnostic global reseller of networking and cybersecurity infrastructure to enterprise customers. Its activities include the supply of data centre infrastructure and networking solutions, cybersecurity, cloud services, artificial intelligence, and IT infrastructure and hardware procurement.
