MA Financial (Redcape Fund) – Seven hospitality venues in NSW

Redcape Hotel Group Pty Ltd and MAHF Custodian Pty Ltd as custodian for RGM TT PTY LTD (which is the trustee for each sub-trust that will hold the respective target) (together, the **Acquirers**) propose to acquire 100% of the freehold land interest, buildings, licenses and other business assets of 7 hospitality venues located in New South Wales (**NSW**) from Iris Capital Holdings Pty Ltd (which controls the current owners of the targets) as interdependent acquisitions forming part of one overall transaction (the **Acquisition**). The target venues are: * Gunyah Hotel, Belmont; * Argenton Hotel, Argenton; * Peden’s Hotel, Cessnock; * Sydney Junction Hotel, Hamilton; * Hotel Elermore, Elermore Vale; * Edgeworth Tavern, Edgeworth; and * QT Newcastle, Newcastle. With one exception, each target is a community pub and hotel venue that offers food, beverage, gaming, entertainment, and/or function and event services. QT Newcastle is a tourist focused accommodation hotel that also offers food, beverage, gaming, entertainment, and function and event services. Five targets offer accommodation and the remaining two (Hotel Elermore and Edgeworth Tavern) each operate an associated ‘Bottler’ liquor store. Two targets also include an adjoining residential lot. The Acquirers are part of MA Financial’s Redcape Fund, which owns and operates community pubs and hotels. The Redcape Fund portfolio currently has 37 pubs and hotels in NSW, Queensland and Victoria.
