Southern Cross Electrical Engineering Limited (**SCEE**) proposes to acquire 100% of the issued shares in Entire Operations Pty Ltd (**Entire**) (the **Acquisition**). The Acquirer, SCEE, is the ultimate holding company of the SCEE corporate group (**SCEE Group**). SCEE Group provides specialised electrical, instrumentation, communications, security, fire protection and maintenance services and manufactures electrical infrastructure products across Australia. SCEE Group supplies these services and products to customers in the mining and resources, industrial, utilities, energy and renewables, transport infrastructure, healthcare, education, data centre, retail, commercial-building and residential-development sectors. Relevant to the Acquisition, SCEE Group, through its subsidiary Force Fire Holdings Pty Ltd, supplies fire protection services in NSW and Queensland. Entire is a provider of mechanical heating, ventilation, and air-conditioning services, as well as fire protection services, operating across a broad range of commercial, social infrastructure and transport infrastructure markets. Relevant to the Acquisition, Entire supplies fire protection services in Victoria and Queensland. Entire has also occasionally undertaken work in NSW.
