Samsung Vista C&I Australia Pty Ltd (**Samsung C&T**) proposes to acquire 90% of the shares in Powertech Pty Ltd (**Powertech**) (the **Acquisition**). Samsung C&T provides end-to-end or “full wrap” engineering, procurement and construction (**EPC**) services in Australia for large-scale renewable energy generation, storage and transmission projects. It is a wholly-owned subsidiary of Samsung C&T Corporation, a South Korean listed company with four business divisions involved in construction & engineering, trading & investment, fashion, and resorts. Powertech is an Australian electrical engineering contractor. It provides discrete parts of the EPC process as a subcontractor, particularly specialist electrical testing and commissioning services. Powertech also supplies some end-to-end EPC services for smaller scale projects, ongoing operations and maintenance services (**O&M**) and equipment hire.
