Australian Venue Co – Assets of Riverland Bar, The Boatbuilders Yard and General Assembly

AVC Operations Pty Ltd (**AVC**) proposes to acquire substantially all of the assets (including the exclusive right to carry on the businesses in succession of the vendors and the benefit of the leases) of three licensed hospitality businesses in Victoria pursuant to one sale agreement (**Sale Agreement**) of the three businesses trading as “The Boatbuilders Yard” (**Boatbuilders Yard**), “General Assembly” (**General Assembly**) and “Riverland Bar” (**Riverland**), with certain assets excluded from the sale (the **Acquisition**). AVC is a subsidiary of Australian Venue Co. Holdings Limited which operates over 200 licensed venues throughout Australia and New Zealand, primarily pubs, as well as some bars, clubs and licensed restaurants. AVC's venues are individually branded and are mostly located in inner-city and metropolitan areas, offering a range of products and services including food, alcoholic and non-alcoholic beverages, function rooms, live entertainment and gaming facilities. The three abovementioned businesses (the **Businesses**) are standalone sites and provide different offerings, including: * Boatbuilders Yard is a pub located at 23 South Wharf Promenade, South Wharf, VIC 3006 * General Assembly is a pub located at 29 South Wharf Promenade, South Wharf VIC 3006 * Riverland is a pub located at Federation Wharf Vaults 1-9, Melbourne VIC 3000. The Businesses are currently owned and operated by entities associated with the Riverland Group, a retail hospitality group.
