The vendor, Wärtsilä Finland Oy (the **Seller**), is a subsidiary of Finnish technology group Wärtsilä and is headquartered in Vaasa, Finland. It is a global manufacturer of combustion engines, propulsion systems, and power plants for the marine and energy sectors. The Seller currently holds 100% of the share capital in Wärtsilä Energy Storage Finland Oy (**Wärtsilä Energy**). Wärtsilä Energy is headquartered in Helsinki, Finland. It is the energy storage business of the Finnish technology group Wärtsilä and acts as a system integrator, combining battery cells from leading manufacturers with its own energy management software, power conversion technology, controls, and lifecycle services to deliver complete, utility-scale battery energy storage solutions for modern power systems. Wärtsilä Energy supplies equipment into Australia directly, and provides services to customers domestically through its wholly owned local subsidiary, Wärtsilä Energy Storage Australia Pty Ltd. Pursuant to a Share Purchase Agreement, RCT Solutions will acquire from the Seller 50% of the shares in Wärtsilä Energy (the **Acquisition**). The Acquisition will establish a joint venture with the Seller retaining the remaining 50%. Post-acquisition, the Seller and RCT Solutions will jointly control Wärtsilä Energy.
