Jungheinrich Australia Holdings Pty Ltd (**Jungheinrich**) proposes to acquire 100% of the shares in All Lift Equipment Sales Pty Ltd and Kretchmer Holding Co Pty Ltd, including their respective subsidiaries (together, **All Lift**) pursuant to a share purchase agreement (the **Acquisition**). Jungheinrich is a wholly owned subsidiary of Jungheinrich AG, a publicly listed company in Germany. Jungheinrich AG is a global original equipment manufacturer (**OEM**) of forklifts and other industrial trucks, warehousing technology and automation solutions. In Australia, Jungheinrich operates nationally through its wholly owned subsidiary, Jungheinrich Australia Pty Ltd (trading as Jungheinrich Australia), selling the following products on a retail (i.e., to end-customers) and wholesale basis (i.e., to dealers, distributors and rental providers): 1. forklifts manufactured by Jungheinrich, TCM, Manitou and EP Equipment; 2. telehandlers manufactured by Manitou; and 3. access equipment manufactured by Manitou. Jungheinrich also rents its products at the retail level and provides spare parts, maintenance, repair services and warehousing and automation solutions to customers. Jungheinrich has branch locations in Sydney, Melbourne, Adelaide, Brisbane, Townsville and Perth. Through those branches and its sales and service network, Jungheinrich supplies its products and services across Australia. All Lift is a non-OEM national rental provider of third-party forklifts, telehandlers and access equipment at the retail level. All Lift also provides spare parts, maintenance and repair services. All Lift's branches are located in New South Wales, Victoria, Queensland and South Australia. While it does not have branches in Western Australia, Tasmania or the Northern Territory, it supplies customers in those regions where commercially feasible. All Lift sources equipment from multiple third-party OEMs and brands.
