Mitsui – further interest in Norse Maritime

Mitsui & Co., Ltd. (**Mitsui**), one of the existing shareholders of Norse Maritime A/S (**Norse**), proposes to acquire additional shares in Norse from Clipper Bulk Shipping Ltd. (**Clipper**) and Navi Merchants A/S (**Navi**), two of Norse's other existing shareholders (the **Acquisition**). The Acquisition will increase Mitsui's shareholding in Norse by ~10%. The Acquisition will be implemented pursuant to separate share sale and purchase agreements between Mitsui and each of Clipper and Navi, entered into as part of a broader restructuring of Norse. Mitsui is a Japanese general trading company with seven operating segments: iron and steel products, mineral and metal resources, energy, machinery and infrastructure, chemicals, lifestyle and innovation and corporate development. Norse is a Danish dry bulk shipping operator active in the tramp shipping sector globally. It operates a fleet of vessels providing maritime transport services for commodities. Certain of Mitsui's connected entities also supply dry bulk vessels in this sector globally, including to Norse.
