Respect Group – McLean Care residential aged care homes and independent living units

Respect Group Limited (**Respect Group**) is a not-for-profit registered charity and unlisted public company based in Tasmania, which provides residential aged care, retirement living, and support at home services focused on dignity and wellbeing for older adults. Respect Group owns and operates 41 residential aged care homes across Tasmania, New South Wales, Victoria, Western Australia, Queensland, and South Australia. McLean Care Ltd (**McLean Care**) is a not-for-profit company limited by guarantee, based in Inverell, New South Wales, providing regional residential aged care and independent living units. McLean Care operates 6 residential aged care facilities in Inverell, Guyra, and Gunnedah in northern New South Wales, and Oakey and Millmerran in southern Queensland. It also operates co-located independent living units in Inverell and Gunnedah. Respect Group proposes to acquire 100% of the business and assets owned by McLean Care through a two-step process in which the parties enter into an Implementation Deed, which implements a change of control of McLean Care whereby the directors of Respect Group are appointed to the board of McLean Care, such that McLean Care becomes an associated entity of Respect Group, and subsequently, the business and assets (including land) of McLean Care are transferred to Respect Group pursuant to a Deed of Gift.
