Invest Blue Finance Pty Ltd (**Invest Blue**) is a company limited by shares and a 100% subsidiary of Ironbark Investment Partners Pty Ltd (**Ironbark**). Ironbark, Invest Blue, and any connected entities of Invest Blue are referred to as **Ironbark Group**. Invest Blue proposes to acquire 100% of the shares in Paris Financial Holdings Pty Ltd (the **Acquisition**). Paris Financial Holdings Pty Ltd is the parent company of four entities: * Paris Lending Pty Ltd – currently 100% owned * Paris Financial Services Pty Ltd – currently 100% owned * Paris Financial Pty Ltd – currently 83% owned * Paris Financial East Melbourne Pty Ltd – currently 80% owned, together, **Paris Group**. As part of the Acquisition, Paris Financial Holdings Pty Ltd will also purchase the remaining ownership stakes in Paris Financial Pty Ltd and Paris Financial East Melbourne Pty Ltd to become the full (100%) owner of all four subsidiaries. Both Ironbark Group and Paris Group operate in the financial services sector. Ironbark Group provides financial advisory, wealth management, and aged care advisory services to individuals, Australian client households, family offices, high net worth clients, and institutional clients. A division of Ironbark Group also provides funds management and trustee services, and certain specialised advisors engaged within Ironbark Group provide accounting and tax advisory services. Paris Group is a Melbourne-based financial services firm that primarily provides accounting and tax advisory services to small and medium sized enterprises and individuals. It also provides ancillary financial advisory and wealth management services.
