Pursuant to an agreement and plan of merger, Kite Parent Holdings, LP, which is controlled by private equity funds managed and/or advised by Summit Partners, L.P. (**Summit Partners**), proposes to indirectly acquire 100% of the issued and outstanding shares of capital stock of KF Parent, Inc., which is the parent company of the Keyfactor group (**Keyfactor**) (the **Acquisition**). On completion of the Acquisition, Keyfactor will be solely controlled by funds advised and/or managed by Summit Partners and/or its affiliates. Summit Partners is an experienced private equity investor founded in 1984. Summit Partners and its affiliates seek to invest in companies in the technology, healthcare & life sciences and growth products and services sectors across North America, Europe and worldwide. Keyfactor is a provider of IT security and digital trust solutions specialising in machine identity management. Machine identity management is a security framework designed to control access by non-human entities to digital resources. Keyfactor’s technology secures, tracks and governs non-human identities that authenticate using cryptographic credentials. Keyfactor is currently majority owned and controlled by funds managed and/or advised by Insight Venture Management, LLC and/or its affiliates.
