Coles Group Limited (**Coles**) is an Australian public company (ASX: COL) that primarily operates: * supermarkets nationwide through its subsidiary, Coles Supermarkets Australia Pty Ltd; and * retail liquor stores nationwide, trading under the Liquorland, Liquorland Warehouse and Liquorland Cellars brands. Coles also has a property development arm, Coles Group Property Developments Ltd (**CGPD**), that buys land and constructs shopping centres, standalone supermarkets and/or liquor outlets and then sells these completed sites to third party buyers. Neubau Holdings No 22 (the **Vendor**) is an Australian private property development and construction company. The Vendor is based on the Sunshine Coast in Queensland. It specialises in mixed-use, retail, commercial medical, industrial and residential developments. CGPD has entered into an offer to purchase 22 Palmwoods Montville Road, Palmwoods QLD 4555 (**Target Site**) to facilitate the development of a new standalone Coles supermarket. Palmwoods is located on the Sunshine Coast, 13km west of Maroochydore and 85km north of Brisbane.
