AVC Operations Pty Ltd (**AVC**) proposes to acquire all of the assets of the licensed tavern intending to trade as Brabham Tavern, from Koy Pty Ltd acting as trustee for ABC Property Trust (**Vendor**) under an Asset Sale Agreement which includes the benefit of a lease of Brabham Tavern to AVC, and AVC will also acquire the liquor licence over the venue from Brabtav Pty Ltd, a connected entity of the Vendor (the **Acquisition**). AVC is a subsidiary of Australian Venue Co. Holdings Limited which operates over 200 licensed venues throughout Australia and New Zealand, primarily pubs, as well as some bars, clubs and licensed restaurants. AVC's venues are individually branded and are mostly located in inner-city and metro areas, offering a range of products and services including food, alcoholic and non-alcoholic beverages, function rooms, live entertainment and gaming facilities. Brabham Tavern will be a newly built turnkey pub / contemporary licensed venue located at 45 Palfrey St, Brabham WA 6055. It is to be a typical Australian tavern with a public bar, bistro, outdoor courtyard and a private event space. It is still under development and has not yet begun trading.
