Australian Venue Co – assets of The Breakwater, Hillarys and Print Hall, Perth

AVC Operations Pty Ltd (**AVC**) proposes to acquire substantially all of the assets of the licensed venues trading as The Breakwater and Print Hall (including the exclusive right to carry on the business in succession of the vendor and the benefit of the existing lease) from Wintime Nominees Pty Ltd and Sunliner Holdings Pty Ltd respectively (the **Acquisition**). The business assets of The Breakwater and Print Hall are currently owned and operated by each respective vendor as part of Night Owl Group. AVC is a subsidiary of Australian Venue Co. Holdings Limited which operates over 200 licensed venues throughout Australia and New Zealand, primarily pubs, as well as some bars, clubs and licensed restaurants. Its venues are individually branded and are mostly located in inner-city and metropolitan areas, offering a range of products and services including food, alcoholic and non-alcoholic beverages, function rooms, live entertainment and gaming facilities. The Breakwater is a licensed venue located at 203/58 Southside Drive, Hillarys WA 6025. The venue is a waterfront destination featuring multiple bars, a restaurant, entertainment facilities (i.e. bowling and shuffleboard) and function rooms. Print Hall is a multi-level licensed venue located at Brookfield Place, 125 St Georges Terrace, Perth WA 6000. The venue is a heritage-listed entertainment precinct featuring multiple bars, a cellar wine bar, restaurants and a rooftop terrace. AVC will commence hospitality operations from each venue by taking on the existing leases following completion of the Acquisition.
