Aula Energy – Additional interest in the Boulder Creek Wind Farm

This application for waiver relates to the Boulder Creek Wind Farm Project (**BCWF Project**) and a proposal by Aula Energy Holdings Pty Ltd as trustee for the Aula Energy Asset Hold Trust (**Aula Energy**) to acquire the remaining 50% of the BCWF Project that it does not already own (the **Acquisition**). Aula Energy is a renewable energy developer and wholesale supplier of electricity. Aula Energy has operated since 2023 and is wholly owned by funds managed by Macquarie Asset Management, an operating group of Macquarie Group Limited. The BCWF Project involves the development, construction, ownership and operation of a wind farm at Boulder Creek, located approximately 40 km southwest of Rockhampton and 5 km west of Mt Morgan in central Queensland. The BCWF Project is under construction and will supply electricity on a wholesale basis to the National Electricity Market upon completion, the first stage of which is currently anticipated to occur by November 2027. The BCWF Project is an unincorporated joint venture in which entities in the Aula Energy and CS Energy corporate groups presently hold 50-50 participating interests. CS Energy’s interest in the BCWF Project is held by an entity called BCWF 2 Pty Ltd (**BCWF2**). The Acquisition involves BCWF 2 Holdings Pty Ltd, a wholly owned indirect subsidiary of Aula Energy, acquiring all of the issued share capital in BCWF2 from CS Energy Limited pursuant to a Share Sale and Purchase Deed which the parties expect to execute shortly. The Acquisition will increase Aula Energy’s ownership of the BCWF Project from 50% to 100%.
