26North Funds - Intermedia Cloud Communications
The parties have executed an agreement that provides for funds (**the 26North Funds**) managed by 26North Partners LP (**26North Partners**) to acquire Intermedia Cloud Communications, Inc. and its subsidiaries (**Intermedia**), via Unite Holdco LLC (**Unite Holdco**) – an acquisition vehicle owned and controlled by the 26North Funds. Under the acquisition, Unite Holdco’s wholly owned subsidiary, Unite Merger Sub Inc., will merge with and into Intermedia, with Intermedia continuing as the surviving entity. As a result, Unite Holdco (and indirectly the 26North Funds) will acquire 100% of the issued and outstanding shares of Intermedia. Intermedia is a corporation incorporated in Delaware, United States. It operates a global business supplying cloud‑based communications and collaboration software services to business customers. These services primarily relate to cloud telephony voice services, as well as video conferencing, messaging, email, file sharing, archiving, security and related cloud‑based tools. Intermedia’s offerings are primarily targeted at small and medium‑sized businesses. Intermedia has several subsidiaries in different jurisdictions which will be indirectly acquired as part of the acquisition, including an Australian subsidiary - Intermedia.net Australia Pty Ltd. 26North Partners is an integrated, multi-asset-class investment platform headquartered in New York that provides investment advice and opportunities to its clients across private equity, credit, insurance and reinsurance strategies. The 26North Funds were established in 2024 as 26North Partners' flagship fund. The 26North Funds have interests in businesses which supply goods and services in Australia, including kitchen appliances (Composition Brands), digital workplace services (AVI-SPL) and broadcast production services (NEP Group).
