Redwood Services Group Australia Pty Ltd (**Redwood**) proposes to acquire Newtrend I.T. Specialists Pty Ltd (**Newtrend**), through the acquisition of 100% of the shares in its holding company, Kewdale Investments Pty Ltd (the **Acquisition**). Redwood’s subsidiaries supply managed IT services, including the provision of software and hardware, to small-to-medium businesses and enterprises across Australia. Redwood is part of Evergreen Services Group (**Evergreen**), which acquires managed IT service providers (**MSPs**) and other technology services companies globally. Evergreen is a portfolio company of Alpine Investors, a private equity firm headquartered in San Francisco, California. Newtrend supplies managed IT services, including the provision of software and hardware, to small-to-medium businesses and enterprises.
