The acquirer is ETG Queensland Processing Pty Ltd. Export Trading Group Australia Pty Ltd (**ETG Australia**) is the sole shareholder of ETG Queensland Processing Pty Ltd. ETG Australia is a wholesale supplier (including exporter) of certain pulses and grains in Australia. Queensland Cotton Corporation Pty Ltd (**Queensland Cotton**) operates a business of trading, conditioning, storing and grading certain pulses and grains, and is a wholesale supplier (including exporter) of certain pulses and grains in Australia. Queensland Cotton owns and operates a receival, grading and container packing facility located in Mount Tyson QLD 4356 (**Mount Tyson Facility**). The Mount Tyson Facility processes, grades, stores and packs chickpeas, mung beans and sorghum for Queensland Cotton, which Queensland Cotton then supplies domestically and overseas. ETG Australia (through ETG Queensland Processing Pty Ltd) is proposing to acquire certain business assets (including land) relating to the operation of the Mount Tyson Facility from Queensland Cotton. After the acquisition, ETG Australia proposes to operate the Mount Tyson Facility to process, grade, store and pack pulses and grains for supplying by ETG Australia both domestically and overseas.
