SLR Australia Pty Ltd (**SLR**) proposes to acquire: * 100% of the issued share capital in Spectrum Ecology Pty Ltd (**Spectrum**) from Cameron Mounsey; * 94.34% of the issued share capital in Millcrest Technology Pty Ltd (**Millcrest**) from Cameron Mounsey as trustee for Mounsey Investment Trust; and * 3.77% of the issued share capital in Millcrest from Christopher Parker and 1.89% of the issued share capital in Millcrest from Benjamin Boothby, together, the **Acquisition**. SLR is part of the SLR group of companies (**SLR Group**). In Australia, SLR Group supplies environmental consulting services to clients across the energy, finance, mining, infrastructure, manufacturing, and technology industries. Its services include strategic advisory, technical consulting and environmental, social, and governance advisory services, environmental risk assessments, impact assessments, engineering, scientific and technical services, ecological, efficient energy and water management services, and town planning and project management. Spectrum is a specialist environmental consultancy providing terrestrial ecological consulting services primarily to the mining, infrastructure, energy and government sectors. Its services include flora and vegetation surveys, fauna surveys, spatial ecology and geographic information system (**GIS**) analysis, remote sensing, rehabilitation monitoring, environmental impact assessments, and environmental compliance reporting. Millcrest supplies proprietary GIS and spatial analysis software, Tyton Ecological Intelligence (**Tyton**), which comprises TytonAI, an AI-powered vegetation classification software, and TytonIQ, a cloud-based environmental intelligence platform. Millcrest licenses the Tyton software to Spectrum and another independent consultancy based in Queensland.
