Brookfield Corporation (**BN**, and together with funds managed and/or advised by BN and/or its affiliates, **Brookfield**), through Windrose France Holdings SAS and related entities, proposes to acquire 100% of the outstanding shares in GB WFC France SAS and certain related interests from Glacis Acquisition S.à r.l. (the **Acquisition**). BN is a global investment firm that deploys pools of discretionary capital globally for investors across its core businesses, including its asset management business and its operating businesses focused mainly on renewable power and transition, infrastructure, private equity, and real estate. GB WFC France SAS (a French simplified joint stock company) is the holding company of the World Freight Company group, that acts as multi-brand air cargo and freight General Sales Agent, General Sales and Service Agent and provides outsourced air cargo management services to airlines.
