(**Hillhouse**) proposes to acquire 100% of the issued shares in MGI Dobbyn Carafa through Ascentium AU Oxygen Holdings Limited, which is wholly and directly owned by Hillhouse (the **Acquisition**). Hillhouse is a global alternative investment manager that deploys capital across multiple strategies, including public equities, private equity, private credit, and real assets. Through its private equity arm, Hillhouse invests in long-term global opportunities across the business services, healthcare, consumer, and industrials sectors. Relevant to the Acquisition, Hillhouse’s investments include: * In.Corp Advisory (AU) Pty Ltd (**Incorp**): Incorp provides standardised bookkeeping, basic accounting, compliance and company secretarial services, focusing on small enterprises, sole proprietors and small business owners. InCorp’s connected entity, InCorp Audit & Assurance Pty Ltd, provides auditing and assurance services. * Oxygen Private Clients Pty Ltd (**Oxygen**): Oxygen is an Australian tax and advisory firm providing specialised compliance and advisory services to family offices, family groups, high-net-worth-individuals, owner-managed businesses, sole traders and self-managed super funds. * Lumiere Private Advisory Pty Ltd (**Lumiere**): Lumiere advises on superannuation matters particularly in relation to self-managed superfunds and offers services including income tax returns, accounts and lodgement with the ATO, as well as estate planning and asset succession implications. MGI Dobbyn Carafa Pty Ltd (**MGI Dobbyn Carafa**) is a Melbourne-based company that provides accounting, tax and corporate advisory services to corporate clients in Australia consisting of accounting and tax compliance, tax consulting, corporate advisory, superannuation, and audit and assurance services.
