Acclime Corporate Services Australia Pty Ltd (**Acclime**), an indirect wholly owned subsidiary of Acclime Holdings HK Limited and of Achronite Bidco Ltd, proposes to acquire 100% of the shares in Polar 993 Limited, Polar 993 Advisory Pty Ltd, 933 Fund Services Pty Ltd and 993 Nominees No. 18 Pty Ltd (together, the **Polar 993 Group**) (the **Acquisition**). Acclime is a corporate and business services firm headquartered in Hong Kong. Acclime provides a comprehensive range of professional services and business advisory services, including integrated corporate services, fund services, accounting, tax, and advisory solutions across Asia Pacific (including Australia) and the Middle East. In Australia, Acclime provides corporation formation and structure, administration, accounting, tax, HR, advisory and funds services. One of Acclime’s wholly owned businesses is Boutique Capital Pty Ltd (**Boutique Capital**), a wholesale Fund Incubator that assists early-stage fund managers to launch and operate funds management businesses. Acclime is ultimately owned and controlled by funds managed or advised by Warburg Pincus LLC (**Warburg Pincus**) and its affiliates. Warburg Pincus is a private equity firm headquartered in New York, with more than $85 billion in assets under management, and more than 215 companies in its active portfolio, diversified across sectors and geographies. In Australia, Warburg Pincus’ portfolio companies are primarily active in the software and financial sectors. Warburg Pincus’ acquisition of Acclime was the subject of an ACCC Notification Waiver Determination dated 30 January 2026 (WA-60008). Polar 993 Group comprises several Australian financial services firms operating as a corporate trustee and responsible entity, providing end-to-end support to investment managers in the Australian funds management industry. Polar 993 Group offers services for investment managers seeking to establish and operate funds in Australia including services covering licensing and restructuring, trustee and responsible entity services, fund administration and operations, and distribution and capital raising.
