Australian Motor Group Pty Ltd (**AMG**) (via a specialised vehicle, AMG Headquarters Eighteen Pty Ltd (**AMGHQ18**)) proposes to acquire substantially all the assets of the motor vehicle dealership business trading as Mudgee Toyota, which is owned by Dawnaco Pty Ltd. Mudgee Toyota operates from leased premises at 30 Burrundulla Avenue, Mudgee NSW 2850. AMG, AMGHQ18 and its connected entities are majority owned by Mark James Fitzgerald who owns, controls and operates a group of 12 franchised automotive dealerships across 32 locations in New South Wales: Sydney (which covers Windsor, Castle Hill, Hornsby, Pennant Hills, Chatswood, Brookvale and Mona Vale), Newcastle and Taree (together, the **AMG Dealerships**). The AMG Dealerships currently represent 17 vehicle brands as an authorised dealer of new vehicles, including Toyota, BMW, Mazda, Ford, Hyundai, Kia, Subaru, Volkswagen, Nissan, Volvo, GMSV, Jeep, Alfa Romeo, Fiat Pro and Suzuki. The AMG Dealerships also sell a range of used vehicles, in addition to providing vehicle servicing and repairs, genuine manufacturers’ spare parts and accessory sales, as well as facilitating finance, insurance and customer care products in connection with the vehicle transactions. Mudgee Toyota is a new and used car retailing business that operates a franchised automotive dealership in the Mudgee area (located in central west NSW). Mudgee Toyota represents one vehicle brand as an authorised dealer, being Toyota. Mudgee Toyota also supplies manufacturers’ spare parts and accessories, aftermarket servicing and repairs and finance and insurance solutions. While AMG and Mudgee Toyota both supply new Toyota vehicles and used cars, spare parts, aftermarket vehicle servicing and financing and insurance solutions, AMG does not presently operate any authorised car dealerships in the Mudgee area and is not an authorised dealer for Toyota in this area. The transaction will occur by way of a business sale and purchase agreement.
