Sims - business assets of Base Metal Recyclers, VIC

Sims Group Australia Holdings Limited (**SGAHL**), a wholly-owned subsidiary of Sims Limited (**Sims**), proposes to acquire the business and operating assets of Base Metal Recyclers (**Base Metal**) from PPM Industries Pty Ltd as trustee of the PPM Industries Unit Trust (the **Acquisition**). Sims operates scrap metal recycling facilities across Australia. In the greater Melbourne area, Sims operates facilities at Brooklyn, Broadmeadows and Noble Park. Sims also operates facilities in Geelong and Traralgon in Victoria. Base Metal Recyclers operates a scrap metal recycling business at 14 Sigma Drive, Croydon South, Victoria. The assets to be acquired comprise the operating business conducted by Base Metal, including its Croydon South site, together with plant and equipment, motor vehicles, inventory, business contracts, intellectual property, business name, goodwill and other assets associated with the Base Metal Recyclers business.
