SCM Financial Group Pty Ltd (**SCM**) proposes to acquire all the business and client related assets of the Strategic Wealth Services Group, which comprises the following 3 entities: * Strategic Financial Planners Pty Ltd, a provider of financial planning services; * Strategic Accountants and Business Advisors Pty Ltd as trustee for the Strategic Accountants & Business Advisors Unit Trust, a provider of tax, accounting and business services; and * Strategic Super Services Pty Ltd as trustee for the S3 Strategic Super Services Unit Trust, a provider of self-managed superannuation fund accounting services. SCM is a provider of financial planning, tax & accounting services and lending services with 2 offices in Surrey Hills in Victoria and St Leonards in New South Wales. SCM is a wholly owned subsidiary of AZ Next Generation Advisory Pty Ltd (**AZ NGA**). AZ NGA is an Australian professional services advisory company established in 2014 that owns a number of financial planning and tax and accounting businesses with operations and customers across Australia. AZ NGA is a subsidiary of AZ Aust Holdings Pty Ltd, whose major shareholders are funds managed by Oaktree Capital Management LP, a global investment management firm specialising in alternative investments, and Azimut Holding S.p.a., a global asset and wealth management business listed on the Milan Stock Exchange.
