Funds managed and/or advised by Bain Capital Investors, LLC (together, **Bain Capital**) propose to acquire 51% of the shares and voting rights in Everllence SE (**Everllence**) and a number of its direct and indirect subsidiaries (together, the **Everllence Group**) from Volkswagen Vermögensverwaltungs-GmbH, a wholly owned subsidiary of Volkswagen Aktiengesellschaft (together, **Volkswagen**) (the **Acquisition**). As a result of the Acquisition, Volkswagen's interest in the shares and voting rights of Everllence will be reduced from 100% to 49%, and Bain Capital and Volkswagen will together have the capacity to determine the financial and operating policies of Everllence, such that they will jointly control Everllence. Bain Capital is a private investment firm with its registered office in Boston, USA, that invests in companies across a number of industries, including information technology, healthcare, retail and consumer products, communications, financial services and industrial/manufacturing. Everllence, headquartered in Augsburg, Germany, is the parent company of the Everllence Group and operates globally through its subsidiaries as an engineering company specialising in propulsion and energy solutions for maritime, energy and industrial applications. Everllence develops and manufactures engines, turbomachinery and propulsion systems, with a focus on decarbonisation technologies and efficiency solutions. Everllence also provides lifecycle services including maintenance and performance optimisation through its global service network. Everllence has offices across Australia in Sydney, Perth and Melbourne. Volkswagen is listed on the Frankfurt Stock Exchange with its registered office in Wolfsburg, Germany, and is the parent company of the Volkswagen group (**Volkswagen Group**). The Volkswagen Group is active worldwide mainly in the development, manufacture, marketing and sale of passenger cars, light commercial vehicles, trucks, buses, coaches, chassis for buses and diesel engines, motor bikes, each including spare parts and accessories. The Volkswagen Group also engages in vehicle distribution, the development and marketing of mobility service solutions such as ride hailing and car sharing as well as financial and insurance services relating to the distribution and financing of its cars and commercial vehicles.
