Steamatic Restoration and Recovery Pty Ltd, a subsidiary of Johns Lyng Steamatic Australia Pty Ltd (**Steamatic Australia**), proposes to acquire an 80% equity interest in Epsom Investment Fund Pty Ltd (**Steamatic Epsom**). Steamatic Epsom operates a number of regional Steamatic Australia franchises. Steamatic Australia is a national provider of restoration services that has operated in Australia since 1986 under the Steamatic Inc. master franchise. Its network comprises 39 branches nationwide, including five company-owned metropolitan branches in Brisbane, Sydney, Melbourne, Adelaide and Perth, and 34 franchisee-owned regional branches. Steamatic Australia provides water, fire, flood, storm and mould restoration services to home and contents insurers, insurance brokers, loss adjusters, facilities managers and strata corporations. Steamatic Australia is a 96.75%-owned subsidiary of Johns Lyng Group Limited (**JLG**). JLG is an integrated building services group with operations in Australia and the United States. In Australia, JLG provides building, restoration and disaster management services, together with strata management, essential compliance and home services. JLG’s principal activities involve the rebuilding and restoring of properties and contents damaged by insured events and natural disasters, including water, storm, impact and fire events. JLG’s customers include major insurers, insurance brokers, loss adjusters, owners’ corporations, commercial enterprises, government agencies and retail customers. JLG controls RestorX Services, which supplies preventative and reactive property and contents restoration services across most of Australia for emergency contamination events, including water, fire, soot, mould and odour damage. JLG also acquired Queensland-based Keystone Group (**Keystone**) in 2024 which provides insurance repairs, restoration and hazardous material removal through its brands Rizon, Remeed Solutions and Corvex. Rizon contracts directly with insurers and insured customers for rebuild and repair projects, while Remeed Solutions principally undertakes restoration works in support of those projects. Steamatic Epsom is a regional franchisee of Steamatic Australia owned by Gareth Tawton and Brodie Street. Steamatic Epsom owns and operates seven Steamatic branches across regional Victoria, New South Wales and Queensland, namely Steamatic Bendigo, Mildura, Shepparton, Coffs Harbour, Port Macquarie, Bundaberg and Rockhampton.
