Thinkex Holdings Pty Ltd (**efex**), proposes to acquire all the shares in On Group Holdings Pty Ltd (**OnPlatinum**) (the **Acquisition**). OnPlatinum is a managed service provider that provides technology services (collectively referred to as “managed IT services”), including: * Cloud computing * Cybersecurity services * Backup & recovery * Strategic IT consulting * Print solutions * Business internet * Phone systems / Telecommunications * Software licensing and support * Infrastructure * Network and end-user computing support. OnPlatinum provides these services to small to medium business customers in all Australian capital cities from its Sydney, New South Wales and Gold Coast, Queensland bases. It can only provide onsite support in Sydney and the Gold Coast. efex supplies managed IT services across Queensland, New South Wales, Victoria and South Australia. efex does not currently provide onsite managed IT services on the Gold Coast. efex is majority owned by Advent Partners, an Australian private equity firm.
