SLR Consulting Australia Pty Ltd (**SLR**) proposes to acquire: * 100% of the issued share capital of Hydrobiology Pty Ltd (**Hydrobiology AU**), * the 33% of the issued share capital of Hydrobiology WA Pty Ltd (**Hydrobiology WA**) not owned by Hydrobiology AU, and * the 33% of the issued share capital of Hydrobiology Singapore Pte Ltd (**Hydrobiology Singapore**) not owned by Hydrobiology AU, (the **Acquisition**). As a result of its acquisition of Hydrobiology AU, SLR will also indirectly acquire Hydrobiology Management Pty Ltd and Hydrobiology QLD Pty Ltd, as well as the balance of the issued share capital of Hydrobiology WA and Hydrobiology Singapore owned by Hydrobiology AU. SLR (and its subsidiaries) supply environmental consulting services in Australia, including strategic advisory and technical consulting to its clients across the energy, finance, mining, infrastructure, manufacturing, and technology industries. The environmental consulting services SLR supplies include ESG advisory services, environmental risk assessments, impact assessments, engineering, scientific and technical services, ecological, efficient energy and water management services, and town planning and project management services. Hydrobiology AU and its subsidiaries (together, **Hydrobiology**) supply integrated environmental consulting services in the physical, biological and chemical processes of environmental systems, with a particular emphasis on aquatic environments or ecosystems, generally referred to as ‘aquatic environments consulting services’. Hydrobiology has offices in Queensland, Western Australia, and Singapore, and has 54 staff in Australia. Its core focuses are environmental risk assessments, impact assessments and environmental management, for projects affecting aquatic environments or ecosystems consisting of marine, freshwater and coastal systems.
