FVS Services Group – Alexon and Jetfire Fire Protection

Vulcan Bidco Pty Ltd proposes to acquire 100% of the shares of Alexon Pty Ltd (**Alexon**) and Jetfire Fire Protection Pty Ltd (**Jetfire**) through a share sale deed. Alexon and Jetfire, are both owned by the Cellier family through JPK Cellier Holdings Pty Ltd and share an office in Port Melbourne, Victoria. Their services are primarily focused on the routine maintenance and repair of existing fire safety systems and equipment. FVS Services Group Pty Ltd (**FVS**), a subsidiary of Vulcan Bidco Pty Ltd, is headquartered in Brisbane and focuses on providing fire protection services to residential, commercial and industrial building owners, property managers and facility managers in Queensland, the Northern Territory and Western Australia. Its services include the routine maintenance and repair of existing fire safety systems and equipment, design and installation of fire protection systems and equipment, and fire safety training and compliance checks. FVS does not have operations in Victoria, New South Wales or South Australia. Vulcan Holdco Pty Ltd is the holding company of Vulcan Bidco Pty Ltd and FVS. The majority owner of Vulcan Holdco Pty Ltd is Fortitude Investment Partners, an Australia-based private equity firm that invests in small and medium sized growth companies in Australia and New Zealand.
