North Haven Infrastructure Partners IV Fund (**North Haven**) is a global investment fund which consists of several limited partnerships and feeder funds, acting through wholly owned subsidiaries. North Haven includes some of the world’s largest institutional infrastructure investors, including public and private pension funds, sovereign wealth funds and insurance companies. North Haven’s General Partners are Morgan Stanley Infrastructure IV GP L.P. and Morgan Stanley Infrastructure IV Investors GP S.a.r.l (the **GPs**). Morgan Stanley Infrastructure Inc. (**MSI**), a global private infrastructure investment platform, acts as the manager of North Haven, overseeing its operations on behalf of the GPs. MSI’s Australian portfolio comprises interests in a private haulage road in Western Australia, a rail maintenance business in Western Australia and a waste facility in Victoria. Both the GPs and MSI are ultimately wholly-owned by Morgan Stanley, a global financial services firm providing investment banking, securities, wealth management and investment management services that is listed on the New York Stock Exchange. ART Investment Holdings Pty Limited acts as a trustee for ART Investments Trust (**ART**), a subsidiary operating under Australian Retirement Trust, one of Australia’s largest superannuation funds. QS MAPS Holdings No.1 Pty Ltd (**QS MAPS No. 1**) and QS MAPS Holdings No.2 Pty Ltd (**QS MAPS No. 2**) are the holding companies for Epic Energy, a major energy infrastructure provider (**Epic Energy**). Epic Energy owns and operates two major gas transmission pipelines in South Australia, the Moomba to Adelaide Pipeline System (with a connection to the Port Pirie Lateral Pipeline) and the South-East Pipeline System. Epic Energy also operates a renewable electricity generation and storage business with wind and solar assets across South Australia and Victoria, as well as battery projects. North Haven, via McLeod Bidco Pty Ltd, proposes to acquire from ART 100% of the shares it owns in each of QS MAPS No. 1 and QS MAPS No. 2 pursuant to a share purchase agreement.
