Ochre Health proposes to acquire Holdsworth House Medical Group (**HHM**) & College Street Specialists (**CSS**), NSW (the **Acquisition**). The acquirer, Ochre Health, supports independent doctors to provide general practice medical services around Australia. Ochre Health currently operates 72 medical centres and urgent care clinics located in the ACT, NSW, Queensland, Tasmania and Victoria, but currently does not operate any medical centres or urgent care clinics in the greater Sydney metropolitan area. Ochre Health Group’s medical recruitment business, Ochre Recruitment, also works with hospitals and medical practices across Australia to source and place locum and permanent doctors across a range of specialities. Ochre Health is majority owned and controlled by Genesis Capital, an Australian-based private equity firm that invests in businesses operating in the healthcare sector. The target businesses, HHM and CCS, are owned and operated by Rainleigh Pty Limited, in which Genesis Capital has an existing interest. HHM operates a general practice medical clinic from its premises and CSS offers administrative services to third party specialist medical service providers. Both HHM and CSS operate out of the same building in Darlinghurst, NSW. Ochre Health and HHM both supply general practice medical services in NSW, however Ochre Health does not operate any medical centres or urgent care clinics nearby the HHM clinics. Ochre Health also does not offer administrative services to third party specialist service providers.
