ReDirect Holdings Pty Limited (**ReDirect**) proposes to acquire 100% of the shares in Echo Solve Pty Limited (**Echo Solve**), including Echo Solve’s contaminated waste treatment facility business (the **Acquisition**). ReDirect is a resource recovery and recycling business operating principally in New South Wales. Its activities include collecting, processing, and recycling waste materials (including wood, metal and drill mud) that would otherwise be landfill, and producing recycled materials for re-use. As part of ReDirect’s drill mud arm of the business, it owns and operates a drill mud facility located in Wetherill Park, New South Wales (**Wetherill Park Drill Mud Recycling**). Echo Solve has a contaminated waste treatment facility located and operating principally in Altona, Victoria (the **Altona Thermal Desorption Plant**). It conducts contaminated soil treatment operations via thermal desorption, drill mud disposal, hydro-excavation and soil washing. Echo Solve is owned by Next Capital and other former Enviropacific Services Pty Limited shareholders/management. On completion of the Acquisition, ReDirect will acquire 100% of the shares in Echo Solve, and the associated assets and liabilities. This includes: * Echo Solve’s contaminated waste treatment facility business; * the Lease Agreement between Echo Solve and the current landlord of the Altona Thermal Desorption Plant; and * all Employee and business contracts entered into by Echo Solve.
