Monadelphous Group Limited (**Monadelphous**) proposes to acquire 100% of the issued share capital of Tyden Power Pty Limited (**Tyden Power**) (the **Acquisition**). Monadelphous is an ASX-listed Australian engineering group providing construction, maintenance and industrial services to the resources, energy and infrastructure sectors. Tyden Power is a New South Wales-based provider of high-voltage engineering, testing, commissioning, maintenance and construction services to customers in the energy, utilities and infrastructure sectors. Both Monadelphous and Tyden Power supply engineering, construction and maintenance services in the energy and infrastructure sectors, including in relation to electricity infrastructure (electrical infrastructure services). Following completion, Tyden Power will become a wholly owned subsidiary of Monadelphous.
