Regis – Home Care Business of Royal Freemasons

Regis Aged Care Pty Ltd (**Regis**) proposes to acquire the Royal Freemasons Home Care business from Royal Freemasons Ltd (**Royal Freemasons**) (the **Acquisition**). This includes associated client relationships, operational assets, and other business assets necessary for the ongoing provision of home care services. The transaction does not involve the acquisition of Royal Freemasons’ residential aged care, retirement living, or other aged care operations. Regis is an ASX-listed Australian aged care provider operating residential aged care homes, home care services, and retirement living services across Australia. Its home care operations provide government-funded and privately funded in-home care and support services to older Australians, including personal care, domestic assistance, nursing and allied health support, social support, and care management services. Royal Freemasons is a not-for-profit aged care and retirement living provider operating primarily in Victoria. Through its Royal Freemasons Home Care business, it supplies home care services to older Australians, including personal care, domestic assistance, nursing support, respite services, social support, and care management services.
