Redwood Services Group Australia Pty Ltd (**Redwood**) proposes to acquire 100% of the shares in All IT Australia Pty Ltd (**All IT Australia**) from its existing shareholders Oblivious Pty Ltd, Calatt Pty Ltd, Spurbuck Investments Pty Ltd, and R & D Briggs Pty Ltd (the **Acquisition**). Redwood’s subsidiaries supply managed IT services, including the provision of software and hardware, to small-to-medium businesses and enterprises across Australia. Redwood is part of Evergreen Services Group (**Evergreen**), which acquires managed IT service providers (**MSPs**) and other technology services companies globally. Evergreen is a portfolio company of Alpine Investors, a private equity firm headquartered in San Francisco, California. All IT Australia supplies managed IT services to small-to-medium businesses and enterprises.
