American Industrial Partners – Honeywell’s Warehouse and Workflow Solutions business

Certain affiliates of AIP, LLC. (together, **AIP**) propose to acquire all of the outstanding equity interests in the Warehouse and Workflow Solutions (**WWS**) business of Honeywell International, Inc. (**Honeywell**) (the **Acquisition**). Honeywell’s WWS business is comprised of Ibiza Holdings, Inc and Honeywell Intelligrated GmbH and their respective subsidiaries (together, **Honeywell WWS**). AIP is an operationally oriented middle-market private equity firm based in New York, US, with a focus on the acquisition and improvement of industrial businesses. As part of the Acquisition, AIP has established wholly owned special-purpose vehicles which will be the direct acquirers of the equity in Honeywell WWS. Honeywell is a US-based publicly traded multinational conglomerate headquartered in Charlotte, North Carolina, United States of America. Honeywell primarily operates in four business areas: (i) Aerospace Technologies, (ii) Building Automation, (iii) Energy and Sustainability Solutions, and (iv) Industrial Automation. Honeywell WWS is headquartered in Mason, Ohio (U.S) and is a provider of material handling and warehouse automation solutions.
