Online Education Services Pty Ltd (**OES**) proposes to acquire 100% of the shares in South Australian Institute of Business and Technology Pty Ltd (**SAIBT**). OES provides end-to-end online education delivery services to higher education providers such as universities, including delivering online courses on behalf of higher education providers. OES provides teaching and other services related to these courses on behalf of the higher education providers, though the courses themselves are formally offered by the higher education provider, not OES, and the qualifications arising from the courses are awarded by the provider, not OES. OES does not directly offer any educational courses (other than indirectly through Swinburne University, which owns 20% of OES). SAIBT is part of the Navitas Group. SAIBT has historically offered diploma qualifications intended to act as pathway qualifications to bachelor degrees offered by the University of South Australia. Following the merger of the University of South Australia and the University of Adelaide to form Adelaide University, SAIBT is teaching out its remaining students, not enrolling new students and will have no students at completion. That is, while OES is acquiring SAIBT the entity, at the completion date, SAIBT will have no students, will not be conducting any business, and will exist as a dormant ‘shell’ with regulatory approvals to operate higher education diploma qualifications.
