NDC HoldCo Pty Ltd (together with its subsidiaries, **National Dental Care**), through its wholly-owned subsidiary, NDC Australia Pty Limited, proposes to acquire from HK & W Investments Pty. Ltd., The Trustee for KZGD Unit Trust and HK & W Equipment Pty Ltd 100% of the business assets comprising the Steve King Dental Group. National Dental Care is a dental services organisation that operates a network of dental clinics that provide a range of general dentistry services. National Dental Care has dental clinics in all Australian states and territories, including Queensland. The Steve King Dental Group consists of five dental clinics located in the Cairns region in Queensland that provide a range of general dentistry services. The five clinics are Cairns Raintrees Dental in Manunda, Cairns Total Health Care in Manunda, Simon Daly Dental in Edmonton, within Kuranda Medical Centre in Kuranda, and Mossman Total Teeth in Mossman.
