AVC Operations Pty Ltd (**AVC**) proposes to acquire substantially all of the assets (including the exclusive right to carry on the businesses in succession of the vendor) of two licensed hospitality businesses in New South Wales, being the acquisition of substantially all of the assets of the businesses trading as The Clock Hotel and The Bank Hotel, pursuant to an asset sale agreement, with certain assets excluded from the sale (the **Acquisition**). AVC is a subsidiary of Australian Venue Co Holdings Limited which operates over 200 licensed venues throughout Australia and New Zealand, primarily pubs, as well as some bars, clubs and licensed restaurants. AVC's venues are individually branded and are mostly located in inner-city and metropolitan areas, offering a range of products and services including food, alcoholic and non-alcoholic beverages, function rooms, live entertainment and gaming facilities. The Clock Hotel is a pub with a rooftop and courtyard, located at 470-474 Crown Street, Surry Hills NSW 2010. The Bank Hotel is a pub with a beer garden and live music offering, located at 324 King Street, Newtown NSW 2042. The Clock Hotel and The Bank Hotel are currently owned and operated by Amalgamated Hotels Pty Limited.
