Alter Domus Nederland B.V. (**Alter Domus**), an indirect wholly-owned subsidiary of Alter Domus Global S.à r.l. (or another wholly-owned subsidiary), proposes to acquire 100% of the issued share capital in MSC Group Co Pty Ltd (**MSC**) from its existing shareholders pursuant to a Share Sale Agreement (the **Acquisition**). Alter Domus Group is a global provider of fund administration, private debt administration, and corporate services, dedicated exclusively to the alternative investment industry, with more than 6,500 staff across 39 offices worldwide. In Australia, Alter Domus is focused on fund administration for wholesale fund managers targeting wholesale investors in the alternative investments space. MSC Group is an Australian-headquartered provider of professional trustee, custody, financial intermediary and fund administration services. Its core business is in the provision of custody and trustee services, with ancillary service offerings including fund administration. Alter Domus is indirectly controlled by the Eighth Cinven Fund which is managed and controlled by Cinven Limited. Cinven is a private equity firm engaged in the provision of investment management and investment advisory services to a number of investment funds. The controlled companies in Cinven’s portfolio of investments are active in a variety of sectors including business services, consumer, financial services, healthcare, industrials and technology, media and telecommunications.
