Hillhouse Investment Management, Ltd. (**Hillhouse**), through Atlas Investments Holdings Limited (**Atlas BidCo**), has agreed to indirectly acquire a minority stake in Dione Topco Ltd. (**Dione Topco**), pursuant to a Share Purchase Agreement dated 19 May 2026 (the **Acquisition**). Hillhouse is a global investment firm that primarily invests in the fields of business services, healthcare, consumer, education, and real assets sectors. Atlas BidCo is indirectly and wholly-owned by certain funds managed and/or advised by Hillhouse and its affiliates. Dione Topco is the holding company for the indirectly wholly owned group of companies comprising LRQA Group Limited (**LRQA**, together with its subsidiaries, the **LRQA Group**). The LRQA Group is a global provider of inspection and certification services to both public and private sector customers with customers across a range of industries, including energy and renewables, construction, food and beverage, consumer goods manufacturing, and technology, amongst others. The LRQA Group is headquartered in Birmingham, United Kingdom, and with offices across Europe, the Americas, Asia Pacific, and the Middle East. The LRQA Group’s services can be divided into four service areas: (a) assessment and certification services, (b) inspection services, (c) data analytics and consulting services, and (d) cybersecurity services.
