Dolphin BidCo Pty Ltd (**Dolphin**, together with its connected entities), proposes to acquire 100% of the shares in In2Swim Pty Limited (**In2Swim**) from NRG Nominees 563 Pty Limited as trustee for Morton Matthews Holdings Pty Ltd, which is itself trustee for the Matthews Family Trust. Dolphin operates a number of swim schools in Western Australia, Victoria, South Australia and Singapore under the ‘State Swim’ brand. 'In2Swim' operates a swim school in Brookvale, in New South Wales.
