Swan Topco Pty Ltd proposes to acquire 100% of the issued share capital in Stanley International College Pty Ltd (**Stanley International College**) by an acquisition vehicle, Swan Bidco Pty Ltd, that is indirectly and solely controlled by funds managed by Quadrant Private Equity (the **Acquisition**). Quadrant Private Equity is a private equity firm headquartered in Sydney, Australia, and supplying financial and investment management services across Australia and New Zealand. It typically invests in mid-market companies across consumer and retail, healthcare, business, professional and industrial services, as well as technology and tech-enabled service industries. Quadrant Private Equity’s portfolio companies do not, and have not previously, held any interests in any higher education, vocational education or training service providers. Stanley International College is an independent institute of higher education and vocational education and training services. It employs over 200 staff and is a multi-campus institution with a presence in Perth and Adelaide. Stanley International College provides a range of vocational training, bachelor’s and post-graduate degrees and professional year qualifications.
