Magellan Financial Group Ltd (**MFG**) proposes to acquire the remaining shares in Barrenjoey Capital Partners Group Holdings Pty Limited (**Barrenjoey**) that it does not already own, in return for equity in MFG (the **Acquisition**). MFG is an Australian financial services group, operating across select global markets, which focuses on investment management and specialist financial services. Its partnerships include Barrenjoey, Vinva Investment Management and FinClear Holdings. Barrenjoey is an Australian-headquartered financial services firm, primarily focused on offering mergers and acquisitions advisory services, debt and equity capital markets services, equities and fixed income trading and research services. Barrenjoey was established in 2020 with initial funding and support provided by MFG and Barclays PLC.
