OpenAI Group PBC, an entity controlled by the OpenAI Foundation (**OpenAI**), proposes to acquire 100% of the share capital of Gitpod, Inc. (known as **Ona**). OpenAI develops artificial intelligence (**AI**) foundational models, including its GPT family of models, as well as foundation model-based services such as ChatGPT. OpenAI also supplies Codex, an AI-powered agent designed to enable software developers to perform and automate various software engineering tasks, subject to human direction and review. Codex is typically accessed through user-facing interfaces and developer tools and is powered by OpenAI’s own foundation models. Ona (previously known as Gitpod) supplies a platform that enables enterprise customers to deploy and orchestrate AI-powered agents to run software engineering tasks within the customer’s own infrastructure or cloud environment. These agents can run autonomously in the background and at scale, including when individual developers are not actively using their laptops. Ona’s platform works across multiple cloud platforms and with multiple foundation models.
