Xylem Inc. (together with its subsidiaries, including the acquiring entity Xylem Water Solutions U.S.A., Inc., **Xylem**) proposes to indirectly acquire 100% of the equity interests in Flow Controls Holding, LLC (**Flow Controls**) (the **Acquisition**). Xylem is a water technology company active in the design, manufacturing, and servicing of highly engineered products and solutions across a range of critical applications, including in the water sector. Globally and in Australia, Xylem provides water and wastewater treatment and transport solutions, water analysis and monitoring equipment, pumps (both on a sale and rental basis), and packaged pump systems (including internet of things (**IoT**) sensors and hardware and associated remote monitoring software for pumps). Flow Controls comprises four businesses, each of which is involved in the supply of pumps and/or pump-related solutions: Cornell Pump Company, Roper Pump Company, Dynamatic, and High Tide Technologies. Together, these businesses develop, manufacture and supply a range of pumps, flow technologies, and related monitoring and control solutions for a range of industrial applications.
